Terms of Service
1. The agreement
These terms are an agreement between you and Yoob AI Ltd., registered at 11 Hayachasut St., Beer Sheva 8470912, Israel (company number 517190104), which operates Yoob ("Yoob", "we", "us"). By creating an account, buying credit or a plan, using an API key, or using the Yoob Companion, you accept these terms. If you accept them for a company, you confirm you may bind it, and "you" means that company.
These terms include the Acceptable Use Policy, the Refund and Cancellation Policy, the Privacy Policy and, for the Companion, the Companion safety protocol. A signed order form or enterprise agreement takes priority over these terms where they conflict.
2. Who can use Yoob
You must be at least 18 years old to use the Yoob Companion, and at least 18 and able to form a binding contract to buy anything from us. You may not use Yoob if you are barred from doing so under applicable law, including sanctions law.
3. Your account
Give us accurate details and keep them current. Keep your password and API keys secret: you are responsible for activity under your account and keys until you tell us they were compromised at security@yoob.com. One free trial per person, verified email and payment method.
4. The products
Yoob Companion is for individuals, for personal, non-commercial use. You may not embed it in another product, resell access to it, use it to provide a service to others, or run it on behalf of an organisation.
Yoob SDK is for businesses and developers building their own applications. You may ship it inside your applications to your end users while your account is in good standing and has a positive prepaid balance, or within the limits of free test-key sandbox sessions. You are responsible for your applications, for your end users’ compliance with terms at least as protective as the Acceptable Use Policy, and for giving your end users any notices the law requires, including that they are interacting with AI.
Yoob voice APIs (Overtone, Undertone, Duotone and Truetone) are for businesses and developers, on the same terms as the SDK: you may use them in your own products and services, you are responsible for your end users’ use of them, and you must not use them to imitate a real person’s voice without that person’s documented consent.
5. Licence
We grant you a non-exclusive, non-transferable, revocable licence to use the Yoob services, character models and console on these terms. The source code of the Yoob SDKs is published under the Apache License 2.0, and that licence governs the code. The character models, model weights, renderer bundles and hosted services are proprietary to us and licensed only under these terms; the SDK’s open-source licence does not extend to them. Open-source notices for the SDKs are in each SDK repository.
We keep all rights in the services, models, characters and our brand. Nothing in these terms transfers ownership of them.
6. Prices, payment and renewal
Prices are on the pricing page and are in US dollars plus applicable tax. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Subscriptions renew automatically. The Yoob SDK plan renews every week or every year, and Companion Plus every month, at the price shown when you subscribed, charged to your saved payment method, until you cancel. You can cancel at any time in the console or the Companion settings, or from the link in any Paddle receipt; cancellation stops the next renewal. We email a reminder before each yearly renewal.
We may change prices with 90 days’ notice by email and on the pricing page. A change applies from your next renewal after the notice ends, and you can cancel before it does. Applications you have already shipped keep the rates they shipped under for the rest of the then-current term. We will not introduce a charge for rendered frames.
7. Prepaid credit
SDK usage is billed from a prepaid balance at the published per-minute rates, measured in conversation seconds. Subscription payments are credited to that balance. Credit is not money, earns no interest, cannot be transferred between accounts and cannot be exchanged for cash, except as the refund policy provides. Credit expires as follows: purchased top-up credit is valid for 12 months from the date of purchase; subscription credit is granted at each renewal and is valid for that billing period only: unused subscription credit does not roll over and expires when the period ends, including after you cancel or downgrade; free and trial credit has no cash value, does not roll over and expires 30 days after it is granted. Credit is spent in this order: free or trial credit, then subscription credit, then purchased credit. When your balance reaches zero, new sessions are refused until you top up. You can set a spend cap in the console.
8. Your content
You keep ownership of what you give us: your text, audio, prompts, artwork and other material ("your content"). You give us a limited licence to host, process and transmit your content only to provide and secure the services for you. We do not use Companion conversations to train third-party models, and we use them to improve our own models only if you opt in.
For custom characters you confirm in writing that you hold every right needed, including the documented consent of any real person depicted, and you indemnify us against claims that you did not. The copyright policy explains how to report infringement.
9. Rules
You must follow the Acceptable Use Policy. You may not extract, decompile or reverse-engineer the character models, model weights or hosted services, or try to recover training data; remove or tamper with watermarks, licence checks or fingerprints; get around rate limits, spend caps or access controls; or resell API keys.
10. AI output
Yoob characters and voices are generated by AI. Output can be wrong, incomplete or unexpected. It is not professional advice, and you should not rely on it for medical, legal, financial or safety decisions. Between you and us, you own the output you generate, to the extent the law allows, subject to these terms and our rights in the characters. Similar output may be generated for others.
11. Availability and changes
Rendering runs on your users’ devices. If our services are unavailable, a session already running keeps rendering for up to ten minutes; starting a new session needs our services. Model delivery, session authorisation, licence validation and the Companion conversation backend are provided without an uptime commitment unless an enterprise agreement says otherwise. We may change or discontinue features; if we discontinue a paid service you are using, we will give reasonable notice and refund unused prepaid credit for it.
12. Suspension and termination
You can stop using Yoob and close your account at any time. We may suspend or end your access immediately for serious or repeated breach of these terms or the Acceptable Use Policy, non-payment, fraud, or where the law requires it, and otherwise with 30 days’ notice. If we end your access without cause, we refund unused prepaid credit. When access ends you must stop distributing new builds that contain the SDK. Sections 5 (ownership), 8, 10, 13, 14, 15 and 16 survive.
13. Warranties
We provide the services with reasonable skill and care. Otherwise, and to the extent the law allows, the services are provided "as is" and "as available", without other warranties, express or implied, including fitness for a particular purpose and non-infringement. Nothing in these terms limits rights you have as a consumer that cannot be waived.
14. Liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue or data, and each party’s total liability under these terms is limited to the greater of the fees you paid us in the 12 months before the claim and US$100. These limits do not apply to your payment obligations, to either party’s indemnities, or to liability that cannot be limited by law, such as for death or personal injury caused by negligence, or fraud.
15. Governing law and disputes
These terms are governed by the laws of the State of Israel. Disputes will be resolved by the competent courts of Beer Sheva, Israel, which have exclusive jurisdiction. If you are a consumer, you keep the protection of the mandatory laws of the country where you live and may bring proceedings there.
16. General
We may update these terms. For material changes we give at least 30 days’ notice by email or in the product, and the change applies from then; if you do not agree you can stop using Yoob before it takes effect. You may not assign these terms without our consent; we may assign them to an affiliate or a successor. If a provision is unenforceable, the rest stays in force.
